Marketplace Terms of Service

1. The Freightly Marketplace

Freightly operates as a digital transportation management marketplace facilitating contracts between independent Shippers ('Companies') and verified Transport Providers ('Carriers'). Freightly is not a common carrier and provides the software infrastructure for load posting, bidding, journey tracking, and digital POD generation.

2. Load Posting & Offer State Rules

A Company may post an 'Open Load' and withdraw it at any time prior to offer acceptance. A Provider submits an 'Offer' in 'Pending' status and may withdraw it while pending. Once a Company accepts an offer, the offer transitions to 'Accepted' and instantly instantiates a binding 'Booking'. An accepted offer cannot be withdrawn as an offer.

3. Electronic Signatures & Proof of Delivery

Signatures captured electronically on glass by drivers upon consignee handover constitute conclusive evidence of delivery completion ('Digital POD'). The generation of a valid digital POD authorizes the release of carrier settlement funds and generation of tax invoices.

4. Carrier Obligations & Compliance

Transport Providers warrant that all vehicles deployed on journeys hold valid MOT certificates, road tax, and appropriate Goods in Transit (GIT) and Public Liability insurance policies. Failure to maintain active compliance constitutes grounds for immediate platform suspension.
